第一章 总则

第一条 名称

英国甘肃总会,英文缩写UKGSA,是英国甘肃总商会和英国甘肃联谊会的合并统称。

第三条 组织属性

英国甘肃总会是一个非盈利公益组织,致力于促进和加强英中交流尤其是英国与甘肃及兄弟省份各级各界交往。

 

第四条 本会职责

1.组织在英与甘肃有关的个人、机构和友好人士开展文化、经济、科技等各领域的交流交往和联谊联欢。

2.承担甘肃省及兄弟省份各级各界政府、企业、学术等机构和代表团来英或来欧公务、商务、交往等参访、洽谈、合作事项组织等。

3.应邀赴甘肃和相关省市区进行考察访问、参会议事和开展合作等。


第二章 会员及其权利义务

第五条 会员

凡热心推动甘肃与英国及世界之间的交流交往,认同本会宗旨且愿意遵守本会章程的自然人和机构,可申请加入本会。

 

第六条 会员入会

1.实行会员入会自愿和退会自由的原则。

2.本会理事会可根据本章程规定与实际情况,制定具体的会员入会条件、办理入会及退会手续等办法,并交由秘书处备案执行。

 

第七条 会员权利

1.参加全体会员大会。

2.对会务提出意见、建议和要求。

3.参加本会活动。

4.享受本会提供的服务。

5.请求本会协调维护其在英在中合法权益。

 

第八条 会员义务

1.遵守本会章程。

2.参与、支持及推动本会各项工作。

3.执行本会决议。

4.接受本会监督。

5.办理本会委托的事项。

 

第九条 会员违规

如会员严重违反章程,有损本会声誉,理事会将通过决议,劝其自行退会。如不服决议者,可向会长或主席申诉或由秘书长提交会员大会讨论作出决定。


第三章 组织及架构

第十条 会员大会

会员大会为本会的最高权力机构。会员大会的职权:

1.决定本会重大事项。

2.听取和审议理事会报告。

3.推选产生本会主席团成员、常务理事和理事(每四年为一届,每届推选一次)。

4.决定其他重要事项。

5.对违规会员申诉作出裁决。

 

第十一条 会员大会会议

1.每年举行一次,必要时可提前或延期召开。

2.会员大会由理事会召集,由会长、理事长或执行会长主持。

3.不设最低出席法定人数,议案以出席人数多数表决通过。

4.经超过三分之二会员要求,或视情况需要,会长可发起召开临时会员大会。

 

第十二条 理事会

理事会是会员大会的常设机构,是大会的最高执行机构。理事会由会长、主席团及理事组成。理事会设会长1名,主席团成员偶数名,常务理事和理事各若干名。其中,主席团设理事长1名,执行会长1-5名,常务副会长和副会长各若干名,秘书长1名并由常务副会长或副会长兼任。理事会成员每届任期四年。主席团会议每年召开两次或以上,由会长、理事长或执行会长发起,秘书长召集。理事会成员要承担相应责任,履行相应义务和职权:

1.贯彻执行会员大会的决议。

2.讨论和决定本会工作方针。

3.对会员大会负责并报告工作。

4.对各项决议享有投票权。

5.落实理事会各项决议。

6.广泛联络会员,反应会员的意见、要求和诉求。

7.对本会工作提出意见和建议。

8.聘请永久荣誉会长、荣誉会长、名誉会长、顾问、荣誉顾问、法律顾问和财务顾问等。

9.广泛引荐在英在欧华人和全球友好人士加入本会。

10.热爱本会工作,主动建设和维护本会形象,出席理事会会议,组织和参与本会活动。

11.热衷公益事业,愿为英国与中国各级各界的交往贡献力量。

 

第十三条 秘书处及顾问

1.大会设秘书处,是理事会的常务机构。秘书处设秘书长1名,财务部长1名,商务部长1名。

2.秘书长由常务副会长或副会长兼任,主要职责包括负责本会活动的组织和筹办,负责主席团安排工作的执行和监督,负责各类会议的文书工作、会议记录和决议事项的监督落实等。

3. 大会设荣誉顾问若干名,法律顾问1-2名,财务顾问1名。


第四章 经费及账目

第十四条 经费来源

1.接受团体或个人的赞助和捐赠、政府资助和其他合法收入。

2.会员及理事会成员缴纳的会费、理事费和资助。

3.发生特别经费需要的情况时,由理事会协调筹募。

 

第十五条  财务公开

本会收支必须经财务记账,编制财务报告,提交主席团审核。年度财务报表须向会员公布。

 


第五章 知识产权

第十六条 会徽

1.本会会徽,可作为徽章佩戴,可用于本会办公地点、活动场所、会议会场悬挂,可作为纪念品、办公用品等周边物上的标志。

2.未经授权,不得用作商业用途。

 

第十七条  其他知识产权

本会发布的图文、视频等所有知识产权类产出,如需发布和转发须明确声明出自本会。

 

第六章 附则

第十八条
本章程解释权和终止权属英国甘肃总会。

第十九条
本章程修改权属理事会,修改条文须获得出席理事会成员四分之三的赞同票。

第二十条
本章程于批准之日起生效。

 

Articles of the Association

Chapter I: General Provisions

Article 1: Name

The United Kingdom Gansu Association, English abbreviation UKGSA, also known as the UK Gansu Fellowship and Chamber of Commerce and Industry, is the combined name of the UK Gansu Association and the UK Gansu Business Association.

Article 3: Organization Attributes

The UKGSA is a non-profit public welfare organization, dedicated to promoting and strengthening exchanges between the UK and China, especially exchanges between the UK and Gansu and its sister provinces at all levels.

Article 4: Responsibilities of the Association

  • Organise individuals, institutions, and friendly people in the UK and Gansu to carry out exchanges and social gatherings in various fields such as culture, economy, science, and technology.
  • Undertake the organisation of visits, negotiations, and cooperation matters for governments, enterprises, academic institutions, and delegations at all levels in Gansu Province and sister provinces who come to the UK or Europe for official business, commerce, exchanges, etc.
  • To be invited to Gansu and related provinces and municipalities for investigative visits, participation in meetings, and cooperation."

 

Chapter II: Members and Their Rights and Obligations

Article 5: Membership

All natural persons and organisations who are enthusiastic about promoting exchanges between Gansu, the United Kingdom, and the world, agree with the purpose of the Association, and are willing to abide by the constitution of the Association, can apply to join UKGSA.

Article 6: Membership

  • Implement the principle of voluntary membership and freedom of withdrawal.
  • The board of directors of this association can formulate specific membership conditions, handle membership and withdrawal procedures, and other methods according to the provisions of this constitution and the actual situation, and submit them to the secretariat for filing and implementation.

Article 7: Member Rights

  • Participate in the General Assembly.
  • Put forward opinions, suggestions, and requirements on conference affairs.
  • Participate in the activities of the association.
  • Enjoy the services provided by the Association.
  • Request the association to coordinate and safeguard its legitimate rights and interests in the UK and in China.

Article 8: Member Obligations

  • Abide by the constitution of the association.
  • Participate in, support, and promote the work of the association.
  • Implement the resolutions of this association.
  • Accept the supervision of the Association.
  • Handle matters entrusted by the Association.

Article 9: Violations by Members

If a member seriously violates the articles of association and damages the reputation of the association, the board of directors will pass a resolution to persuade him to withdraw from the association. Those who disagree with the resolution may appeal to the president or chairman, or the secretary-general shall submit it to the general meeting for discussion and decision.

 

Chapter III: Organization and Structure

Article 10: General Assembly

The General Assembly is the highest authority of the Association. Responsibilities of the General Assembly:

  • Decide on major matters of the Association.
  • Listen to and review the report of the Council.
  • Elect and produce the members of the presidium, executive presidents, and presidents of the association (every four years as a session, and each session is elected once).
  • Decide on other important matters.
  • Make a ruling on the complaints of violating members.

Article 11: Meetings of the General Assembly

  • Held once a year; if necessary, it can be held in advance or postponed.
  • The membership meeting is convened by the council and presided over by the president or chairman.
  • There is no minimum quorum of attendance, and the proposal is passed by a majority vote of the attendees.
  • Upon the request of more than two-thirds of the members, or as the situation requires, the president may initiate an interim general meeting."

Article 12: Council

The Council is the permanent body of the General Assembly and the highest executive body of the General Assembly. The council is composed of the director, bureau, and members. The council shall have one director, an even number of presidium members, several executive members, and several members. Among them, the council shall have a president, 1-5 executive president, several executive vice-president, several vice-president, and a secretary-general who may concurrently serve as the executive vice-president or vice-president. Council members serve four-year terms. Bureau meetings are held twice or more each year, initiated by the president, or executive president, and convened by the secretary-general. Members of the council shall assume corresponding responsibilities and perform corresponding obligations and powers:

  • Implement the resolutions of the general meeting of members.
  • Discuss and decide on the work policy of the Association.
  • Be responsible and report to the General Assembly.
  • Have the right to vote on various resolutions.
  • Implement the resolutions of the council.
  • Extensively contact members and respond to members' opinions, requirements, and appeals.
  • Put forward opinions and suggestions on the work of the Association.
  • Hire permanent honorary president, honorary president, honorary advisor, legal advisor, and financial advisor.
  • Extensively recommend Chinese in the UK and Europe and friendly people from all over the world to join the association.
  • Love the work of the association, actively build and maintain the image of the association, attend council meetings, organize, and participate in the activities of the association.
  • Be enthusiastic about public welfare and willing to contribute to exchanges between the UK and China at all levels.

Article 13: Secretariat and Consultants

  • The General Assembly establishes a secretariat, serving as the executive body of the Council. This secretariat comprises one Secretary-General, one Finance Minister, and one Commerce Minister.
  • The position of Secretary-General is held concurrently by the Executive Vice-president or Vice-president. The main responsibilities of the Secretary-General include organising and preparing the association's activities, overseeing the implementation of tasks assigned by the bureau, managing the documentation for various meetings and their minutes, as well as supervising and implementing resolutions.
  • The conference shall appoint several honorary Consultants, 1-2 legal Consultants, and 1 financial Consultant.

 

Chapter IV: Funds and Accounts

Article 14: Sources of Funding

The association may accept sponsorship and donations from groups or individuals, government funding, and other legitimate sources of income.

Funding for the association will come from membership fees, council fees, and contributions made by members and council members.

In case of special funding needs, the council will coordinate fundraising efforts.

Article 15: Financial Disclosure

The association must maintain a financial account to record all income and expenditure. A financial report should be prepared and submitted to the presidium for review. Additionally, annual financial statements shall be published for members' reference.

 

Chapter V: Intellectual Property Rights

Article 16: Emblem

The association's emblem may be worn as a badge and displayed in the association's office locations, event venues, and conference venues. It can also be used as a mark on peripheral items such as souvenirs and office supplies.

Commercial use of the emblem is prohibited without proper authorization.

Article 17: Other Intellectual Property Rights

All intellectual property products, including graphics and videos released by the association, must clearly attribute the Association as the source when being released and forwarded.

 

Chapter VI: Supplementary Provisions

Article 18: Right to Interpret and Terminate

The right to interpret and terminate this constitution belongs to the British Gansu Association.

Article 19: Right to Amend the Articles of Association

The right to amend the Articles of Association belongs to the Council, and any amended provisions must be approved by three-quarters of the members present at the Council meeting.

Article 20: Effective Date

The Articles of Association shall take effect on the date of approval.
